Article 1 – General Clause
Unless formally and expressly waived by the latter, all sales by TRIPBIKE are subject to these general conditions which prevail over all purchasing conditions of its customers and which are deemed accepted by the buyer. The minimum invoice is €50 excluding VAT. All invoices issued during the year are automatically subject to the general conditions of sale of the TRIPBIKE company.
Article 2 – Formation of the Contract
A contract is only concluded by express confirmation in any form whatsoever from TRIPBIKE. If, during a previous order, the buyer has failed to meet one of his obligations (late payment, for example), TRIPBIKE reserves the right to refuse the order.
Article 3 – Execution of the contract
3-1 Models
The manufacturers reserve the right to make any modifications or improvements deemed appropriate to the products sold, provided that these do not modify the essential characteristics of the product.
3-2 Delivery
a) Delivery time: Delivery times are given for informational purposes only and are not guaranteed. Delays in delivery do not give the buyer the right to cancel the order or refuse the goods. They cannot give rise to any deduction, compensation, penalty or damages.
b) Goods: The customer must check the goods upon delivery. This check must focus on the quality, quantities and references of the goods and their conformity with the order. Goods which are recognized as lacking conformity will be replaced or repaired without any compensation whatsoever.
Article 4 – Tarif
Sales are invoiced regardless of the contract date, at the firm and final price scale in effect on the delivery date. Commercial discounts granted for implementation are valid from September 1st to August 31st. Tripbike reserves the right to modify prices for reasons beyond its control such as, in particular, force majeure, changes in legislation in force, currency fluctuations, production cuts, etc.
SH+ Transport Shipping costs are charged according to the final destination from €40 excluding VAT per box. Free shipping is from €500 excluding VAT. CRONO Transport Free shipping from €500. Wholesale distributors, B2C customers (individuals), our prices are ex-warehouse. Management Fees: An amount excluding VAT of €6 will be charged for the management of bank charges on LCRs.
Unpaid Fees - Billing of €50 excluding VAT for each unpaid LCR and check + 12% in addition to the invoice amount with a minimum of €50 for amounts and fees not recovered within 15 days.
Article 5 - Payment Method
With prior agreement, 30-day LCR
Account opening - Advance payment by check cashable on the day of delivery.

Products are payable on the due dates as indicated on the invoices. Payment by LCR within 30 days for B2B customers.
b-2) French Overseas Territories and B2C customers (individual customers) advance payment. Payment of the order in full before final validation. Ex-works price with delivery to your freight forwarder. Transport, freight forwarder and customs costs to be paid by the customer. No discount.
RETURNS: No returns will be accepted without our prior written consent. If the goods are returned without prior consent, payment will be required.
Article 6 – Reservation of Ownership
Each order is subject to a sale with a retention of title clause in accordance with Art. 2367 to 2372 cc. As a result, ownership of ordered and unpaid products will only be transferred on the day of receipt of the full price. The customer will ensure the safekeeping of the delivered goods. The return of goods will be made with a 35% reduction only on the current year's range. In the event of receivership or liquidation of the reseller's assets, Tripbike intends to avail itself of the provisions of Art. L.624-16C of com. In the event of non-payment of all or part of the price, Tripbike may demand, automatically and without formality, the return of the "products", subject to the retention of title clause, at the expense, risk and peril of the Reseller without this return being equivalent to the cancellation of the sale. Tripbike may enter the reseller's premises in order to repossess said products, the reseller authorizing Tripbike to access its premises from now on. In the event of receivership or liquidation of the Reseller's assets, Tripbike reserves the right to the Reseller's or B2C customer's assets. Tripbike intends to avail itself of the provisions of Article 621-122 of the French Commercial Code with regard to products, subject to the retention of title clause, which have not been paid for. The Reseller or B2C customer acknowledges that this clause is essential to the delivery of the goods and that it will respect its application in all its contractual and legal applications and terms. In particular, under this clause, the reseller undertakes to clearly identify as belonging to the Supplier the "products or goods", subject to the retention of title clause, until full payment of the price. Extract from the General Terms and Conditions of Sale: The goods are protected by art. 2367 to 2372 cc and L.624-16 cc, relating to the effects of retention of title clauses, which the customer declares to be fully aware of and accept. Their ownership will be transferred after full payment of the price. Upon delivery, the customer undertakes to insure them.
Article 6-1 – In the event of non-application of Article 6, the customer will personally guarantee unpaid invoices to Sté Tripbike.
Article 7 – Limitations of Liability
7-1 Product-related limitations Tripbike cannot be held liable for abnormal use of the products sold. Nor can it be held liable for lack of knowledge or conditions made by the manufacturers. Hathor cannot be held liable for the manufacturing and defects of all the products sold and counterfeits.
7-2 Warranty - Warranties are provided directly by the respective manufacturers.

Article 8 – Dispute Resolution
In the absence of an amicable agreement, all disputes relating to sales made by the company Tripbike and to the application and/or interpretation of these general conditions will fall under the exclusive jurisdiction of the Commercial Court of Douai, and/or the headquarters of the company Tripbike.
Article 9. – Right of withdrawal
In accordance with the provisions of the Consumer Code, the buyer has a period of 14 working days from the date of delivery of his order to return any item that does not suit him and request a refund without penalty, with the exception of return costs which remain the responsibility of the buyer.
However, the products must be returned in their original packaging and in perfect condition within 14 days of notifying the seller of the buyer's decision to withdraw.
Returns must be made in their original condition and complete (packaging, accessories, instructions, etc.) allowing them to be resold as new, accompanied by the purchase invoice to the following address: APUI IMT764, boulevard Lahure 59500 DOUAI FRANCE . Damaged, soiled or incomplete products will not be accepted.
All products made to order and personalized cannot be withdrawn, they are neither returned nor exchanged.
The right of withdrawal can be exercised online, using the contact form available on the website. In this case, an acknowledgment of receipt on a durable medium will be immediately communicated to the buyer. Any other method of declaration of withdrawal is accepted. It must be unambiguous and express the desire to withdraw.
If the right of withdrawal is exercised within the aforementioned period, the price of the product(s) purchased and the delivery costs will be refunded. Return costs are the responsibility of the buyer.
In the event of withdrawal, reimbursement will be made no later than 14 days from the date on which the seller is informed of the buyer's decision to withdraw, but in this case, the seller may also choose to defer this reimbursement until recovery of the product(s).
Article 10 – Return of goods
Returns will be made with a 35% reduction in value only on the current year's range. An additional 15% reduction will be applied to previous ranges.
Article 11. – Wheels are not guaranteed against rim deformation. This deformation is due to intensive and excessive braking, which creates overheating of the rim.
